1 Who we are and who these terms cover

Coconut is a trading name of Magnetic London Creative Services Ltd, registered in England and Wales under company number 07508375. Our registered office is Studio 123, Brickfields Business Centre, 37 Cremer Street, London, E2 8HD. Contact us at hello@magnetic-london.co.uk.

Our paid services are for business use, including by sole traders. By ordering, you confirm that you are at least 18 and authorised to contract for the business concerned. If you want services mainly for personal use, contact us before ordering. Nothing in these terms removes rights that cannot legally be excluded, including any consumer rights that apply.

2 Your order

Your chosen plan or written proposal sets out the work, price and any special conditions. A service contract starts when we confirm acceptance of your order. For online plans, this is the order confirmation following successful payment. We will refund any payment for an order we cannot accept.

These terms form part of that contract. A separately agreed written proposal takes priority where it expressly changes a term. Extra work or changes to the agreed brief need written agreement on scope, cost and timing before we proceed.

Static and video advertising packages cover the creative assets only unless your order expressly includes campaign management. Media spend, strategy, publishing, community management and other services are not included simply because you buy an asset package.

3 Monthly plans and payment

Monthly plans are paid in advance and automatically renew each month until cancelled. Your checkout and confirmation show the charge, billing frequency and next payment date. If a month does not contain your usual billing day, payment falls on its last day. Prices are in pounds sterling unless stated otherwise. Any VAT and additional charges will be shown before you pay.

Advertising spend, external subscriptions, printing and other third-party costs are separate unless expressly included. We will agree additional costs with you first. If payment fails, we will contact you and may pause work until it is resolved. We will give at least 30 days' notice of any change to your ongoing plan price, with the option to cancel before it applies.

4 Cancelling and refunds

You can cancel through your account or by emailing us at any time before the next renewal payment is due. There is no additional notice period or cancellation fee. Cancellation takes effect at the end of the paid billing period and stops future renewals. Keep your cancellation confirmation; if account cancellation fails, email us before renewal and we will use the time we received your message.

We do not normally refund a paid period simply because you change your mind or do not use the service. We will complete work properly briefed and due for that paid period, subject to your cooperation. If we cannot provide the agreed service, we will offer an appropriate remedy, which may include correcting or completing the work, a price reduction or a refund for the unprovided part. Your legal rights remain unaffected.

5 Briefs and delivery

Please provide a clear brief, usable brand assets, necessary access and one person to approve work. We aim to deliver the agreed content within five UK business days after receiving the complete brief, required materials and payment, unless a different timetable is agreed before purchase. UK business days exclude weekends and public holidays in England. We will tell you promptly if a delay arises and agree the next step.

Your plan covers the stated quantity and type of work per billing period. It is not an unlimited service. Unless agreed otherwise, unused monthly allowances do not roll over. Work delayed by us is not forfeited because a new billing period starts. Delays in your feedback or materials can move the delivery date; we will explain any effect on the remaining work before proceeding.

Please send consolidated feedback within five UK business days of delivery, or agree another date with us. If we cannot progress because information, access or feedback is missing, we may pause and reschedule the work around existing commitments. Silence is not permission for us to publish or launch work.

6 Revisions and approval

We include two rounds of revisions for the first project for each brand and one round for later projects, unless your order says otherwise. A round means one consolidated set of changes within the original brief. A new concept, additional format or changed brief may require a separate quote. Correcting our failure to meet the agreed brief does not use your included revision allowance.

Please check names, facts, prices, links, claims and required disclosures before approval. We publish, schedule or launch work only with your approval or an agreed written approval process. Approval does not remove our responsibility to provide the service with reasonable care and skill.

7 Your materials and permissions

You keep ownership of materials you provide. You give us permission to use and adapt them, and share them with the people delivering your work, for that purpose. You must have the necessary rights and permissions, including from identifiable people in photos or videos.

You are responsible for the accuracy of your business claims and for any sector-specific approvals. We may decline unlawful, misleading or infringing requests. Use secure account access or delegated permissions where available; do not email passwords or payment-card details.

For business customers, you will cover reasonable direct costs, damages and third-party claims caused by your breach of these permissions or by unlawful material or instructions you supply, except to the extent caused by our breach or negligence. We will tell you promptly about a claim, take reasonable steps to reduce loss and let you participate in the defence. We will not agree a settlement imposing obligations on you without your reasonable consent.

8 Rights to the finished work

Once the relevant fees are paid in full, you receive a perpetual, worldwide, royalty-free licence to use and adapt the final bespoke deliverables for your business, including through contractors acting for you. Copyright remains with us unless we expressly agree a transfer in writing. You may not resell our designs as standalone templates or stock assets without our written permission. Unused concepts, working files, methods, tools and pre-existing templates remain ours. Editable source files are included only where your order says so.

Stock images, fonts, music, software and creator content remain subject to their own licences. We will identify material restrictions before approval. UGC creator usage rights, including paid advertising, channels, territories, duration and any creator-account advertising permissions, must be agreed in the order. Do not assume a licence allows standalone resale or every use. We will ask before using your name or work in our portfolio.

9 Advertising and results

We provide services with reasonable care and skill. We cannot guarantee sales, leads, search rankings, advertising approval or a particular return. Platforms control their own rules and availability. Where we manage advertising, we will agree the budget and access permissions with you. You remain responsible for paying the approved platform spend. We remain responsible for our own work and for using the agreed budget as authorised.

10 Confidentiality and personal information

Both parties will protect confidential information and share it only with people who need it for the work, under suitable duties of confidentiality, or where the law requires. This does not cover information already public through no breach or lawfully obtained elsewhere.

Our Privacy Policy explains how we handle personal information for our own business. If we process your customers’ or other individuals’ data on your behalf, we will agree appropriate data-processing terms before that work begins. A website privacy policy does not replace that agreement. We may use qualified subcontractors and production tools, including assistive AI, while remaining responsible for the service. We will protect confidential information and honour any AI-related restrictions agreed in your order. We do not guarantee that AI-assisted or stock elements are unique or capable of exclusive ownership.

11 Problems and ending the service

Please contact us promptly if something is wrong so we can investigate and put it right. Either party may end an affected order if the other seriously breaches it and does not fix a remediable breach within 14 days of written notice. We may pause immediately where reasonably necessary to prevent unlawful activity or a security risk, and explain the reason where permitted.

If we end a service for reasons unrelated to your breach, we will refund prepaid fees for work we will not provide. On termination, we will account for work completed and approved non-cancellable costs, deliver paid-for work and return or delete personal data as agreed. We will not charge twice for the same work. Confidentiality, payment obligations already due and rights in completed work survive termination.

12 Responsibility and liability

Neither party excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded or limited.

Subject to the exceptions above, and to the extent the law permits, our total liability for a one-off order is limited to the total fees paid or payable for that order. For a monthly plan, our total liability is limited to the fees paid or payable under the affected plan during the 12 months before the event giving rise to the claim. We are not liable for indirect or consequential loss, or lost profit, revenue or business opportunities. These limits do not remove our obligation to refund sums expressly due under these terms. Any separately signed agreement may set a different limit.

13 Website use and events outside our control

Do not misuse our website, attempt unauthorised access or copy its content without permission. External links are provided for convenience; their operators control their content. We cannot promise uninterrupted website access.

If an event beyond our reasonable control affects delivery, we will tell you, take reasonable steps to reduce its impact and agree a revised timetable. If the affected service cannot resume within 30 days, either party may cancel that part, and we will refund prepaid fees for work not provided.

14 Changes and disputes

New terms apply to new orders from their stated date. Material changes to an existing monthly plan will be notified at least 30 days in advance and apply only from a later renewal, giving you time to cancel. We will not retrospectively remove accrued rights. Please contact us first so we can try to resolve a dispute. These terms are governed by the law of England and Wales, and its courts have exclusive jurisdiction, subject to any mandatory rights that apply.

The order and these terms form the agreement for the services. Changes to an individual order must be agreed in writing by authorised representatives; email counts. If a provision cannot be enforced, the rest continues to apply. A delay in enforcing a right does not waive it. No third party has a right to enforce this agreement under the Contracts (Rights of Third Parties) Act 1999.
